Terms of service of TXGA’S Shopping Mall
The "TXGA Mall User Agreement" (hereinafter referred to as the "Agreement") refers to you (or "user", which refers to the individual or organization that registers, logs in, uses, and browses the TXGA Mall) and Tesijia Industrial Electronics Co., Ltd. (the main body in liability of the shopping mall) The agreement between TXGA Mall website (domain name is https://www.txga.com/, referred to as this website) and TXGA products, procedures and services. TXGA signs this agreement with you regarding the rights and obligations you enjoy during the process of receiving services on this website, and independently assumes responsibilities to you, and does not assume mutual guarantees, joint or joint responsibilities, etc.
TXGA hereby reminds all users to read carefully and fully understand the terms of this agreement. Your acceptance of this agreement means voluntarily accepting all the terms and conditions. Please read carefully and fully understand the content of the terms, especially the terms of exemption or limitation of liability, applicable law and dispute resolution terms. If you agree to this agreement and complete all registration procedures, it means that you have fully read, understood and accepted all the contents of this agreement, and reached an agreement with TXGA, becoming a TXGA mall platform user. In the process of reading this agreement, if you do not agree to this agreement or any of its terms, you should immediately stop the registration process.
The scope of application of the agreement
1. [Subject scope]
The main operating entity of the TXGA Mall platform is Tesijia Industrial Electronics Co., Ltd., and the sales entity of platform products is Tesijia Industrial Electronics Co., Ltd. Under this agreement, the operating entity of the TXGA mall platform may be changed according to the adjustment of the platform business. The operating entity of the TXGA mall platform after the change will perform this agreement with you and provide you with services. The change of the operating entity of the TXGA mall platform will not affect your rights and interests under this agreement.
TXGA’saccount application and usage
2. [TXGA’s account use agreement]
If you log in to TXGA Mall, you still need to register to be a TXGA member. Your application and use of the TXGA account shall comply with the TXGA account usage agreement and the specifications revised and published by TXGA from time to time.
2. [User Qualifications]
Before you start the registration process to use the services of this platform, you should have the civil capacity appropriate to your behavior as required by the laws of the People's Republic of China and other countries’. If you do not have the aforementioned civil capacity for your behavior, you should use our service with the participation of your guardian, and you and your guardian should bear all consequences arising therefrom in accordance with the law. The operations under your account represent you; if you need to purchase goods or enjoy services on the TXGA mall platform on behalf of a specific unit, you must provide the relevant certificate materials and authorization materials of the unit in accordance with TXGA's requirements.
In addition, you also need to ensure that you are not the subject of trade restrictions, sanctions or other laws and regulations imposed by any country, international organization or region, otherwise you may not be able to register and use TXGA mall platform services normally.
Platform services and specifications
(1) Purchase goods
3.The products and services on the TXGA Mall platform are operated by Tesijia Industrial Electronics Co., Ltd.
3.1 [Contract Conclusion] You understand and agree: The products and their prices, specifications and other information displayed on the TXGA Mall platform are for your reference only. You must confirm the specific content of the order when you place an order, and you can submit the order after confirming that it is correct. After you submit an order on the TXGA Mall platform and pay the full amount, it will be deemed that you have established a contractual relationship with the platform for the goods you have paid for. Before the establishment of the sales contract between the seller and you, both you and TXGA have the right to cancel orders for related products.
3.2 [Payment before goods clause] You understand and agree: this platform implements the method of payment before delivery, and the timely, full, and legal payment of the payment required for the purchase of goods by the user is a condition for the establishment and effectiveness of the contract. It is also a prerequisite for sellers to deliver goods to users. If you fail to complete the payment in a reasonable way or within the specified time, the contract is deemed to have not been established, and TXGA has the right to cancel the order.
3.3[Out of stock exemption clause] TXGA will try its best to meet your needs and avoid that the goods you buy are out of stock, but due to technical obstacles and various factors that are difficult to control and avoid, the seller cannot guarantee that it will meet the order you submitted all requested goods are available; if the goods you ordered are out of stock, you have the right to cancel the order and terminate the contract. The seller also has the right to cancel the order and terminate the contract. If you have already paid, you will be refunded. After the order is canceled, the money you have paid will be returned to your payment account. You understand and acknowledge that the refund time will vary due to different payment platforms, payment methods and other reasons.
3.4 [Prohibition of malicious purchases, purchasing agents, and resale clauses] Your purchase behavior should be based on real consumer needs, and there must be no malicious purchase of goods and/or services, malicious rights protection, etc. that disrupt the normal transaction order of the TXGA platform. Based on the need to maintain the transaction order and transaction security of the TXGA platform, TXGA can proactively perform operations such as closing the relevant transaction order and canceling the contract when the above-mentioned situation is discovered.
3.5 [Price Display] Although TXGA does its best to ensure the accuracy of commodity prices, commodity prices may occasionally indicated in errors. If the correct price of a product is higher than the price displayed on the TXGA Mall website, or the order price is incorrect due to a system settlement error, TXGA has the right to make a decision based on the specific situation by contacting you for confirmation, or cancel your order or contract with negotiations in prior.
3.6 [Platform Information Changes] The product/service information such as product promotion content, parameter price, quantity, availability and availability on the TXGA mall platform may change at any time, and TXGA mall platform will not make special notices. Due to the huge amount of product/service information on the platform, although the TXGA Mall platform will do its best to ensure the accuracy of the product/service information you browse, due to the existence of well-known Internet technical errors and other objective reasons, the information displayed on the platform may be a certain lag or error there is. We deem that you know and understand this situation, and agree not to pursue the TXGA mall platform’s liability for breach or infringement; if you find that the product/service information is wrong or questionable, please do not submit an order or accept the service and inform the TXGA mall platform as soon as possible for modification.
3.7[Promotional Activity Description] TXGA Mall will carry out various forms of promotional activities. You can only participate in the activity within the validity period of the activity to enjoy the corresponding discounts in accordance with the activity rules.
(2) Commodity logistics
3.8 [Receiving Information] When you place an order, you must fill in the consignee, contact information, receiving address, contract performance method, etc. of the goods you want to buy, and the goods you buy will be delivered to the address you specify for distribution. Any problem caused by your change of contact person or related delivery information shall be borne by you.
3.9 [Delivery time] The system will determine whether to push and display the delivery time according to different order types. The delivery time listed in the order information is merely for your reference only, and the calculation of the reference time is based on the inventory status , estimated on the basis of normal processing, delivery time of various locations, it is not a promised delivery time, nor is it equal to the actual delivery time. You understand that the products on the platform may be out of stock, or product delivery delays caused by scarce of stocks, you understand and accept that TXGA is not responsible for this.
4.0 [The proper delivery of goods ] TXGA will deliver the goods to your designated delivery address through self-delivery, logistics companies, etc., for the goods you buy. Please follow the TXGA receiving process to receive the goods; when the goods are properly delivered given to the consignee or the consignee’s agent, it is deemed that you have completed the receipt and acknowledge that the received goods have no appearance defects, damage or other problems, and you shall bear the legal consequences of the consignee’s actions and intentions Joint and several liability. 4 [Accurate information] You should accurately fill in your authentic name, delivery address and contact information. If the order is delayed or cannot be delivered due to the following circumstances, the merchant does not need to bear the relevant responsibility and reserves the right to cancel the order unilaterally:
(1) The delivery address, contact information and other information are wrong, non-existent or insufficiently detailed;
(2) The delivery personnel were contacted twice through the reserved receiving mobile phone, and could not be connected or no one answered;
(3) The delivery of the goods without a signature, resulting in the cost of repeated distribution and related consequences;
(4) Force majeure, such as natural disasters, traffic martial law, strikes, riots, government actions, sudden wars, etc.
(3) After-sales of goods
3.1 [After-sales service] TXGA is responsible for the after-sales service of products sold on this platform.
3.2 [After-sales service area] You understand and agree that: TXGA mall platform only provides after-sales service to our customers based in mainland China; customers from another country will be responsible for other after-sales expenses.
(4) Third party
3.3 [Payment Methods and Responsibilities] You have the right to choose the payment method provided by TXGA. You understand and confirm that the payment service is provided by a third party with legal qualifications for the user, and the conditions and specifications for the use of such payment service are between you and the payment The service provider determines that TXGA does not assume any responsibility for the payment service.
3.4[Export Control] TXGA has the right to refuse to send prohibited goods to countries, regions and any institutions or individuals that have been blacklisted by the United Nations, the United States, the European Union and other countries. At the same time, you must not use any products produced or sold by TXGA for any military purposes, supporting terrorism, nuclear facilities, biological and chemical weapons, missiles, weapons of mass destruction, etc. You must comply with all export and re-export restrictions in the United States or other countries that may apply to goods, software, technology, and services. If you are subject to sanctions imposed by the United States or subject to sanctions imposed by the government of the country where you are using TXGA services that are consistent with U.S. laws, you may not be able to use the services provided by TXGA.
3.4.3 [Non-TXGA provides services] TXGA will not actively provide you with paid services by telephone or other means if you have not issued a clear service demand. If you accept the above services, TXGA will not bear any responsibility for the service. responsibility.
3.5 [Force majeure and third-party reasons] TXGA performs related obligations in accordance with the law, but TXGA will does not take
responsibility for breach of contract due to the following reasons:
(1) Force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders, etc.;
(2) Due to public service factors such as power supply failures, communication network failures, or any hacker attack, computer virus intrusion, illegal content information, harassing information shielding, government control, and any other network, technology, communication lines, and information security management Circumstances that cannot meet your requirements such as service interruption or obstruction caused by measures and other reasons;
(3) In the case that TXGA has done its best to manage, due to factors such as routine or emergency equipment and system maintenance, equipment and system failures, network information, and data security.
Protection and authorization of user information
4.1【Personal Information Protection】
4.1.1 TXGA will collect, use and process your personal information in accordance with the privacy policy. In accordance with applicable laws, you have the right to inquire, correct, delete, and cancel your service or account for your personal information. Please send an email to sales@txga.com to apply for modification.
4.1.2 After completing the purpose of collecting personal information, TXGA will stop retaining the data, or perform desensitization or de-identification processing. However, in accordance with the relevant provisions of the "E-Commerce Law of the People's Republic of China", TXGA shall save transaction information for three years from the date of completion of the transaction, but TXGA will no longer process this part of your transaction information, unless otherwise provided by laws and administrative regulations.
4.1.3 We will not share your personal information with any company, organization or individual other than TXGA, except in the following
circumstances:
(1) Obtain your explicit consent or authorization in advance;
(2) Provide in accordance with applicable laws and regulations, requirements of legal procedures, mandatory administrative or judicial
requirements, including but not limited to relevant competent authorities requesting TXGA to provide relevant e-commerce data and information in accordance with the "E-Commerce Law" (Which contains some personal information).
4.1.4 [Third-party login] When a user chooses to log in to TXGA Mall with his existing WeChat or QQ account and associate the TXGA account, TXGA will obtain some useful information on these platforms. In view of this, when the user performs the above operations, it means that you have agreed to TXGA to obtain its information on these portals and social platforms.
4.2 [Publication of Information] You declare and warrant that you have corresponding and legal rights to the information you publish. Otherwise, TXGA may delete or block the information you publish in accordance with the law or in accordance with this agreement.
4.3 [Prohibited Information] You should ensure that the information you publish does not contain the following content:
(1) Violating the prohibitive provisions of national laws and regulations;
(2) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror, or abetting crime;
(3) Fraud, false, inaccurate or misleading;
(4) Infringement of the intellectual property rights of others or involving third-party trade secrets and other proprietary rights;
(5) Insulting, slandering, intimidating, or involving the privacy of others, infringing upon the lawful rights and interests of others;
(6) Viruses, Trojan horses, crawlers, and other malicious software and program codes that may damage, tamper with, delete, or affect the normal operation of any system on the TXGA Mall platform or obtain unauthorized and secretly obtained data, personal data from the TXGA Mall platform and other users;
(7) Others that violate social public interests or public morals or are not suitable for publishing on the TXGA mall platform in accordance with the relevant TXGA platform agreements and rules. To
4.4 [Information Sending] You agree that TXGA has the right to send order information, promotional activities, advertisements or advertisement links to you and your designated consignee through emails, text messages, phone calls, etc., to inform you of information.
5. Modification of terms
TXGA may modify this agreement and supplementary agreements from time to time in accordance with national laws and regulations changes and the need to maintain transaction order and protect consumer rights and interests. The changed agreement and supplementary agreement (hereinafter referred to as "changes") will go through legal procedures and be notified in a reasonable manner you. If you still disagree with the changes that have taken effect, you should stop using TXGA platform services from the effective date of the changes, and the changes will not be effective for you; if you continue to use the TXGA mall after the changes take effect Platform services, it is deemed that you agree to the changes that have become effective.
Termination
6.1 When any of the following situations occurs to you, the TXGA Mall platform has the right to restrict all or part of your rights (including but not limited to placing orders, participating in promotional activities, etc.), canceling relevant unfulfilled orders, canceling contracts, or canceling you TXGA account number:
(1) Affect the normal operation of the website or the provision of services to other users through cyber attacks, large numbers of advertisements, etc.;
(2) Publish information that has nothing to do with the goods or services sold in the consultation area many times;
(3) Seeking benefits through improper means (such as plug-in tools, cyber-attacks, stolen bank cards, etc.) or other illegal methods that infringe the interests of third parties;
(4) Insult or personally abuse sellers or customer service personnel without reason attack;
(5) It is not due to the quality of the goods/services that have repeatedly refused to accept goods or refuse to accept services in a short period of time;
(6) The order information (including but not limited to name, phone number, ID number, e-mail address, etc.) provided by you is untrue, inaccurate or incomplete;
(7) You have other acts that affect the normal operating order of the platform or violate the law.
6.2 [Processing after account termination] If your account on the TXGA Mall platform is terminated, TXGA can notify the counterpart of the transaction and decide whether to close the transaction order according to the wishes of the counterpart for the transaction orders generated during the validity of your account; If the counterpart of the transaction requires continued performance, you shall continue to perform the agreement and the agreement of the transaction order for such transaction orders, and bear any losses or any additional costs incurred as a result.
6.3 [Termination of Account Termination Rights] Once your account on the TXGA Mall platform is terminated, your right to use TXGA Mall platform services will be terminated. TXGA does not assume any responsibility to you for terminating this agreement, including terminating your user account and deleting your user content; TXGA is also not obligated to provide you or a third party with information formed by your use of the TXGA mall platform services.
Intellectual Property
7.1 [Intellectual Property Protection] Your use of TXGA account and TXGA Mall platform services shall comply with the "TXGA Account Use Agreement" and other related agreements on intellectual property rights.
7.2 [Intellectual Property License] When you use the TXGA store platform services, you use your TXGA account to publish the original information such as text, pictures, videos, software, and performances. The intellectual property rights of the original information that you upload belong to you, but you confirm that your publication of such information, Uploading is deemed to be a non-exclusive, permanent, and irrevocable grant to TXGA of the rights to use and copy all intellectual property rights related to such information, and you agree that TXGA may sublicense the above rights.
7.3 [Infringement Treatment] The information you publish in TXGA Mall shall not infringe the intellectual property rights of any third party. Without the prior written consent of the relevant owner, you shall not upload, publish, modify, spread or copy any copyrighted rights in any way protected materials, trademarks, or proprietary information belonging to others. If you believe that the goods or other information on the TXGA mall platform infringes your intellectual property rights, please follow the intellectual property protection rules and procedures announced on the TXGA mall platform.
Notice
When you register as a TXGA mall platform user and accept the TXGA mall platform services, you should provide TXGA with real and effective contact information (including your email address, contact number, contact address, etc.). If the contact information changes, You are obliged to update relevant information in a timely manner and maintain a status that can be contacted. The notification forms such as pop-up windows pushed by TXGA to your browsing interface are also effective means of notifications to you.
TXGA will send you various notifications to one or several of your above contact methods, and the content of such notifications may have a significant beneficial or adverse impact on your rights and obligations. Please pay attention to it in time.
You should ensure that the contact information provided is accurate, effective, and updated in real time. If the contact information provided is inaccurate, or the changed contact information is not notified in time, so that the notice cannot be delivered or is not delivered in time, you shall bear the legal consequences that may arise from this.
Applicable legal jurisdiction and others
9.1 This agreement shall be governed by the laws of the People's Republic of China. Disputes arising from your use of TXGA Mall platform services and related to TXGA Mall platform services shall be resolved by TXGA through negotiation with you. If the negotiation fails, either party may bring a lawsuit to the people's court with jurisdiction in the place of the defendant's domicile.
9.2 If some clauses in the agreement cannot be applied for some reason, the other clauses of this agreement will continue to apply and the inapplicable clauses will be modified so that they can be applied in accordance with the law.
9.3 Other rights not expressly authorized are still reserved by TXGA, and you must obtain additional written permission from TXGA when exercising these rights. If TXGA fails to exercise any of the foregoing rights, it does not constitute a waiver of that right.
